[01] TERMS OF SERVICE

Terms of Service

These terms govern use of RWA Leads, a market-intelligence service. They are a contract between you and Curio Capital AG under Swiss law. The courts of Zug are the venue.

Curio Capital AG · Baarermattstr. 8b, 6340 Baar, Switzerland

RWA Leads is newly launched. Information is provided for informational purposes only and does not constitute investment advice.

1. Who we are

RWA Leads at https://rwaleads.com is operated by Curio Capital AG, Baarermattstr. 8b, 6340 Baar, Switzerland. These terms apply to the website, the digest, accounts, paid subscriptions, API keys and any related page we publish. The company details and a content notice are also on the imprint.

“We” means Curio Capital AG. “You” means the person or organisation using the service. If you use RWA Leads for a company, you confirm you may bind that company.

2. What the service is

RWA Leads compiles market intelligence and lead signals about real-world assets and tokenization. We gather public news, filings and websites, then extract and summarise them with software, including AI models. Scores, briefs and lead lists are our compilation. They are a research aid for people who already do their own work.

The product is newly launched. Coverage, features and uptime will change. A feed can be late, thin or interrupted, and a newly launched pipeline will mis-file items. Treat every output as something to check against the original source. How the pipeline works is described on the sources page.

3. Not advice, and not a financial service

RWA Leads is information. It is not investment advice, legal advice or tax advice, and it is not a personal recommendation. Nothing on the site is an offer, a solicitation or an invitation to buy, sell or hold a security, a token or any other financial instrument.

Providing this service is not a financial service under the Swiss Financial Services Act (FinSA / FIDLEG). We do not, through RWA Leads, advise you on transactions in financial instruments, manage assets for you, or deal in securities for you. A score is our ranking of a public item. It is not a view on whether you should invest.

You decide what to do with the information, and you carry the outcome. If you need advice that takes account of your situation, instruct a person who is allowed to give it.

4. Accounts and access

Some pages are public. Others need a signed-in session, a subscription, or an API key. Give us an email address that is yours and that you can open. Keep passwords and keys to yourself. You are responsible for use of the service under your credentials until you tell us they are compromised and we have had a reasonable chance to revoke them.

We may refuse, suspend or close access that breaks these terms, that abuses the service, or that we reasonably believe is unlawful. We will tell you when we can do so without undermining the reason for the suspension.

5. Subscriptions, trial and payment

Paid plans are sold through Stripe. Launch pricing is Pro at 9 US dollars a month and Team at 27 US dollars a month. A new paid subscription includes a 14-day trial, and no card is required to start it. If you do not add a card before the trial ends, the subscription cancels and you are not billed. If a card is on file, the plan renews unless you cancel in the Stripe billing portal before the trial ends. That trial is a commercial offer from us. It is separate from any statutory withdrawal right a consumer law may give you.

The plan name, price, currency, billing period and any trial shown on the Stripe checkout page are part of the order you place. If that page and this section ever disagree, the checkout page controls for that order. A free digest may be offered without a subscription. It is not a paid plan and has no trial.

Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time in the Stripe billing portal. Cancellation stops the next renewal. Access for a period you have already paid continues until that period ends. We do not refund a billing period that has already started, except where the law requires a refund. Swiss law does not give a general cooling-off right for this kind of online subscription. If a mandatory consumer rule where you live gives you a withdrawal or refund right, that rule still applies.

Stripe collects and processes the payment. We do not store your card number. Fees are exclusive of any tax that Stripe or the law adds. If a payment fails, we may suspend the paid features until it succeeds.

6. API keys and acceptable use

An API key is a bearer credential. We store only a hash of it. The raw key is shown once, when it is created, and we cannot show it again. Send it in the Authorization header. Do not put it in a query string, a page, a ticket or a shared repository. You are responsible for calls made with your key. Tell us at once if you believe it has leaked, and revoke it from your account.

You agree not to:

  • share, sell or publish a key, or let someone else pretend it is theirs;
  • bypass a rate limit, probe another customer’s data, or interfere with the service;
  • use the API or the site to send unlawful bulk email, to scrape past the access we give you, or to hide the origin of a sponsored placement;
  • republish our scores, briefs or selection as a competing database, or strip the attribution we attach to a source;
  • use the service in a way that breaks the law, including the law that applies to financial promotion where you send the output onward.

A demo key, where we offer one, is a limited preview. We may throttle it or withdraw it. We may revoke any key that breaks this section.

7. Sponsorship

Paid placements are labelled “Sponsored” and are offered at 250 US dollars through the sponsor page. The label means the placement was paid for. It does not mean we recommend the sponsor, and it is not an offer of securities or a financial service. A sponsor does not buy a change to a score, a lead, a briefing or a source.

The sponsor is responsible for its own claims. We may refuse or remove a placement that is misleading, unlawful, or inconsistent with the “Sponsored” label.

8. Intellectual property

The site, the scores, the briefs we write, and the way we select and arrange the feed belong to us or our licensors. Material we quote from a public source stays with its author. We give you a limited, revocable, non-exclusive right to use the service for your own internal research while your access is active. That right ends when your access ends. You do not acquire our trade marks.

If you send us a watchlist, a registration, a correction or another note, you allow us to host and process it to run the service. You keep your rights in what you send.

9. No guarantee of accuracy

Public sources are incomplete, and automated extraction makes mistakes. A summary can mis-state a filing, attach the wrong entity, or repeat a figure that was already an estimate. We do not warrant that the service is accurate, complete, current, or fit for a particular purpose. Do not rely on it as the only basis for an investment, a contract or a regulatory filing.

10. Liability

To the extent Swiss law allows, we are not liable for slight negligence, for lost profit, for lost data, or for a decision you take from the service. We do not exclude liability for unlawful intent or gross negligence. An advance exclusion of that liability is void under Article 100 of the Swiss Code of Obligations. We also do not exclude liability for death or personal injury caused by negligence, or any other liability a mandatory rule does not let us exclude.

Where a cap is permitted, our total liability for claims arising in a billing period is limited to the fees you paid us for RWA Leads in that period. If you use a free plan, that cap is the amount you paid us in the three months before the claim, which may be zero. These limits apply to the company and to the people who work for it, to the extent the law allows a limit in their favour.

You will indemnify us against a claim by a third party that arises from your misuse of the service or from content you asked us to publish, except to the extent we caused it by unlawful intent or gross negligence.

11. Changes to these terms

We may update these terms as the product changes. The date at the top of this page moves when we do. If you have a paid subscription and a change is material, we will email the address on the subscription before the change applies, or we will apply it from the next renewal. If you keep using the service after the update takes effect, you accept the new terms. If you do not accept them, cancel before they apply.

12. Swiss law and the courts of Zug

These terms are governed by Swiss substantive law, excluding its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The exclusive place of jurisdiction is the courts of the Canton of Zug, Switzerland.

That choice does not take away a forum or a consumer protection you are not allowed to waive. If one clause is held invalid, the rest stays in force, and the invalid clause is read down to the closest valid rule.
